By accessing or using CortejTech's services, website, or any related platforms ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and CortejTech ("Company," "we," "us," or "our"). Your continued use of our Services indicates your acceptance of any modifications to these Terms.

CortejTech provides custom software development, web development, mobile application development, consulting, and related technology services. Our services include but are not limited to:

• Custom software development and programming
• Web application and website development
• Mobile application development (iOS and Android)
• API development and integration
• Database design and optimization
• Technical consulting and architecture planning
• Maintenance and support services
• Quality assurance and testing

Specific services will be detailed in separate statements of work, contracts, or service agreements that supplement these Terms.

As a user of our Services, you agree to:

• Provide accurate, complete, and timely information necessary for project completion
• Cooperate in good faith and respond promptly to requests for information or feedback
• Use our Services only for lawful purposes and in compliance with all applicable laws
• Not share confidential information without proper authorization
• Respect intellectual property rights of CortejTech and third parties
• Maintain the confidentiality of any access credentials provided
• Notify us immediately of any unauthorized use of your account or security breaches
• Pay all fees and charges in accordance with agreed payment terms

You are responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and industry standards relevant to your business and jurisdiction.

Payment terms shall be specified in individual service agreements. Unless otherwise agreed:

• All fees are quoted and payable in USD unless otherwise specified
• Invoices are due within 30 days of the invoice date
• A deposit may be required before commencement of services
• Late payments may incur interest charges of 1.5% per month
• Additional work outside the agreed scope may result in additional charges
• Refunds will be considered on a case-by-case basis

CortejTech reserves the right to suspend services for overdue accounts and may require payment of outstanding balances before resuming work.

Intellectual property rights shall be governed by the specific terms outlined in individual service agreements. Generally:

• Custom-developed work products may be transferred to the Client upon full payment
• CortejTech retains rights to pre-existing intellectual property, tools, and methodologies
• Third-party components remain subject to their respective licenses
• CortejTech may retain the right to use general knowledge and skills gained
• Portfolio and case study rights may be retained with Client approval

Clients warrant that any materials provided do not infringe upon third-party intellectual property rights and agree to indemnify CortejTech against any related claims.

CortejTech is committed to protecting your privacy and maintaining the confidentiality of your data. Our data protection practices include:

• Implementing appropriate technical and organizational security measures
• Processing personal data only as necessary for service delivery
• Maintaining confidentiality of all client information
• Complying with applicable data protection laws and regulations
• Providing data breach notification as required by law
• Enabling data portability and deletion rights where applicable

CortejTech warrants that services will be performed with professional skill and care. However, except as expressly stated:

• Services are provided "AS IS" without warranty of any kind
• We disclaim all implied warranties including merchantability and fitness for purpose
• No warranty is made regarding uninterrupted or error-free operation
• Third-party components are subject to their respective warranties
• Results and performance may vary based on various factors

Any specific warranties will be detailed in individual service agreements and supersede these general disclaimers for the scope of work covered.

To the maximum extent permitted by law, CortejTech's liability shall be limited as follows:

• Total liability shall not exceed the amount paid by Client in the preceding 12 months
• We shall not be liable for indirect, incidental, or consequential damages
• No liability for lost profits, data loss, or business interruption
• No liability for third-party actions or failures
• No liability for delays due to circumstances beyond our reasonable control

This limitation applies regardless of the theory of liability and even if CortejTech has been advised of the possibility of such damages.

Client agrees to indemnify and hold harmless CortejTech from any claims, damages, or expenses arising from:

• Client's breach of these Terms or any service agreement
• Client's violation of any law or regulation
• Infringement claims related to Client-provided materials
• Client's use of deliverables in ways not contemplated by the agreement
• Third-party claims arising from Client's business operations

This indemnification obligation shall survive termination of any service agreement.

Either party may terminate service agreements under the following conditions:

• For convenience with appropriate notice as specified in the service agreement
• Immediately for material breach that remains uncured after written notice
• Immediately for insolvency or bankruptcy proceedings
• For non-payment of undisputed invoices beyond the cure period

Upon termination, Client shall pay for all work completed through the termination date. CortejTech will deliver completed work products and return Client materials as specified in the service agreement.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where CortejTech is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or related service agreements shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, unless both parties agree to court proceedings.

The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.

CortejTech reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on our website. Continued use of our Services after any such changes constitutes acceptance of the new Terms.

For material changes, we will provide reasonable notice to existing clients through email or other appropriate communication methods.

Individual service agreements may specify different modification procedures that shall take precedence for the work covered by those agreements.
